Terms of Service

The agreement between you and Optagon Labs for using Backbond. Please read it before you start.

1. Agreement to these terms

Backbond is operated by Optagon Labs (referred to as "we", "us", or "Backbond"). These Terms of Service (the "Terms") are a legal agreement between you and us that governs your access to and use of the Backbond application, website, and related services (together, the "Service").

By creating an account, accepting these Terms, or using the Service, you agree to be bound by them. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you confirm that you are authorized to accept these Terms on its behalf.

2. Who may use the Service

You must be at least 18 years old, or the age of majority where you live, and legally able to enter into this agreement. Access to Backbond is granted at our discretion and may require approval. We may accept or decline any request for access for any reason.

3. Your account

You sign in through Google. You are responsible for keeping your account secure and for everything that happens under it. Provide accurate information, do not share your account, and tell us promptly if you believe it has been accessed without your permission.

4. Acceptable use

When using the Service, you agree not to:

  • Break any law, or infringe anyone's intellectual property, privacy, or other rights.
  • Upload content you do not have the right to upload, or that is unlawful, harmful, or malicious.
  • Attempt to access accounts, data, or systems that are not yours, or to defeat any security or access control.
  • Probe, scan, overload, disrupt, or interfere with the Service or the infrastructure it runs on.
  • Reverse engineer, decompile, scrape, or copy the Service except to the limited extent the law does not allow that restriction.
  • Use the Service to build a competing product, or resell or redistribute it without our written permission.
  • Use automated means to access the Service in a way that harms it or other users.

We may suspend or terminate access that we reasonably believe breaks these rules, poses a risk to the Service, or is otherwise abusive.

5. Your content and data

You keep all rights you already have in the projects, documents, notes, chats, formulations, and other material you put into the Service ("Your Content"). We do not claim ownership of it.

You grant us a limited, non-exclusive license to host, store, copy, process, and display Your Content only as needed to operate and provide the Service to you, to secure it, and to support you. This license ends when you delete the content or your account, except for backups that age out on a routine schedule and anything we must keep to meet a legal obligation.

We do not sell Your Content, and we do not use it to train our own or any third party's artificial intelligence models. How we store and handle Your Content is described in our Data Policy.

6. Automated analysis and outputs

Backbond uses automated systems, including large language models and other machine learning tools, to analyze your material and generate results, summaries, relationships, and suggestions ("Outputs").

Outputs are generated by software and can be incomplete, inaccurate, or wrong. They are provided for research and informational purposes only. They are not scientific, engineering, medical, safety, legal, financial, or other professional advice, and they are not a substitute for your own testing, judgment, and qualified review.

You are solely responsible for independently checking any Output before relying on it, and for any decision or action you take based on it. Do not use Backbond as the sole basis for any decision that could affect health, safety, the environment, regulatory compliance, or property.

7. Subscriptions, fees, and payments

Some features require a paid subscription or usage allowance. Prices, plans, and usage limits are shown in the Service and may change. Payments are processed by our payment provider, Stripe. We do not receive or store your full card details.

Paid plans renew automatically for the same period until you cancel, and you authorize us to charge the applicable fees on each renewal. You can cancel future renewals at any time from the Service. Except where the law requires otherwise, fees already paid are non-refundable and usage allowances do not carry over. You are responsible for any taxes that apply.

8. Third party services

The Service relies on third party providers, such as Google Cloud for hosting, and providers that help process documents and generate Outputs. If you choose to connect an outside account, such as Google Drive or Microsoft SharePoint, your use of that account is also governed by that provider's own terms. We are not responsible for third party services, and their availability is outside our control.

9. Service availability and changes

We work to keep the Service running, but we do not guarantee that it will be uninterrupted, timely, secure, or error free. We may add, change, suspend, or remove features, set or change limits, or discontinue the Service, at any time. We will use reasonable efforts to give notice of significant changes when practical.

10. Disclaimer of warranties

To the maximum extent permitted by law, the Service and all Outputs are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory. We specifically disclaim any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty about the accuracy, reliability, or completeness of the Service or any Output.

11. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to the Service or these Terms, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Service or these Terms will not exceed the greater of the amount you paid us for the Service in the twelve months before the event giving rise to the claim, or one hundred US dollars. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless Optagon Labs and its people from any claims, damages, losses, and costs, including reasonable legal fees, arising out of Your Content, your use of the Service, or your breach of these Terms or of any law or third party right.

13. Suspension and termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if we are required to by law, or if we reasonably need to protect the Service or other users. On termination, your right to use the Service ends. Sections that by their nature should survive, such as those on Your Content licenses that persist in backups, disclaimers, limitation of liability, and indemnification, will survive.

14. Changes to these terms

We may update these Terms from time to time. When we make a material change, we will update the version and effective date and ask you to review and accept the updated Terms the next time you use the Service. Your continued use after an update means you accept it.

15. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law rules. You agree that the courts located there have jurisdiction over any dispute that is not otherwise resolved, to the extent permitted by law.
